1. Your Relationship with Us
Welcome to FicSpire, a global online fiction reading and sharing platform dedicated to offering diverse, high-quality literary works—including novels, short stories, and serialized fiction—for readers worldwide (hereinafter referred to as the " Platform" or "FicSpire" ). These Terms of Service (hereinafter referred to as the "Terms" ), together with our Privacy Policy, Content Guidelines, Subscription Policies, and any other operating rules, updates, or supplementary documents published by FicSpire from time to time, collectively govern the legal relationship between FicSpire and users (i.e., "you" ).
This agreement applies to all individuals or entities that access, use, or interact with FicSpire’s services, including but not limited to:
The FicSpire website (http://www.ficspire.com/, including all subdomains and affiliated sites);
FicSpire mobile applications (iOS, Android, and other supported operating systems, hereinafter referred to as the " App");
Any third-party platforms or integrations through which you access FicSpire’s content or features (e.g., social media links, embedded readers);
All paid or free services, content, and functions provided by FicSpire (collectively referred to as the "Services").
By accessing or using any part of the Services, you confirm that you have read, understood, and unconditionally agreed to be bound by these Terms and all incorporated documents. If you do not agree to any provision of these Terms, you must immediately cease accessing or using the Platform.
2. Acceptance of These Terms
2.1 Binding Agreement
Your use of the Services constitutes a voluntary acceptance of these Terms, which form a legally enforceable contract between you and FicSpire. You represent and warrant that you have the legal capacity to enter into this agreement (e.g., you are of the age of majority in your jurisdiction, or have obtained parental/guardian consent if required).
2.2 Modification of the Terms
FicSpire reserves the right to revise, add to, or remove provisions of these Terms at any time, in our sole discretion. Such changes may be made to reflect legal updates, service enhancements, business adjustments, or other reasonable purposes.
Notice of Changes: We will notify you of material changes by: (i) displaying a prominent notice within the App or on the Website; (ii) sending an email to the address associated with your account; or (iii) updating the " Last Update Date" at the top of these Terms.
Effective Date: Modified Terms will take effect 14 calendar days after the date of notice (or immediately for changes required by law). If you continue to use the Services after the effective date, you are deemed to have accepted the revised Terms. If you disagree with the changes, you must stop using the Services and may delete your account (see Section 4.3).
3. Your Eligibility for Use
To access or use the Services, you must meet the following eligibility requirements:
You are at least 13 years old (or the minimum age required by applicable local laws, e.g., 16 years old under the EU’s General Data Protection Regulation). If you are under the minimum age, you may only use the Services with the explicit consent and supervision of a parent or legal guardian, who agrees to be bound by these Terms on your behalf.
You have not previously been suspended or terminated from using the Services by FicSpire, unless you have received written permission to re-register.
Your registration and use of the Services comply with all applicable local, national, and international laws, regulations, and treaties (e.g., copyright laws, data protection laws).
If you use the Services on behalf of a business, organization, or other entity (e.g., a publisher or literary group), you represent and warrant that: (i) you are authorized to bind that entity to these Terms; (ii) the entity meets the eligibility requirements above; and (iii) you will ensure the entity’s compliance with these Terms.
FicSpire reserves the right to verify your eligibility at any time. If we discover that you do not meet the eligibility requirements (e.g., you are under 13 without guardian consent), we may immediately suspend or terminate your account and delete associated data, in accordance with applicable privacy laws.
4. Registration and Account
4.1 Account Creation
To access certain features of the Services (e.g., saving reading progress, subscribing to premium content, posting comments), you must create a FicSpire account ("Account"). During registration, you must provide accurate, current, and complete information (e.g., email address, password, and, if applicable, payment details). You agree to update this information promptly if it changes (e.g., a new email address), to ensure it remains accurate.
FicSpire may reject or disable any Account name, username, or profile information that: (i) violates our Content Guidelines (e.g., is offensive, misleading, or infringing); (ii) impersonates another person or entity; or (iii) is otherwise inconsistent with FicSpire’s brand or legal obligations.
4.2 Account Security
Your Account is personal to you—you may not share your Account credentials (e.g., username, password, two-factor authentication codes) with any third party. You are solely responsible for:
Maintaining the confidentiality of your Account;
All activities conducted under your Account (including purchases, comments, and content uploads);
Immediately notifying FicSpire of any unauthorized access to or use of your Account (via the contact information in Section 20.2).
FicSpire will not be liable for any loss, damage, or unauthorized activity caused by your failure to protect your Account. We reserve the right to take action (e.g., resetting your password, suspending your Account) if we suspect unauthorized access.
4.3 Account Deletion
You may delete your Account at any time by navigating to the "Account Settings" section of the App or Website and following the prompts. Before deletion, please note:
Once deleted, your Account cannot be recovered;
You will lose access to all Account-related data, including saved reading lists, subscription benefits, and user-generated content (e.g., comments);
Any unpaid fees or outstanding obligations (e.g., pending subscription charges) will remain due and payable.
FicSpire may retain certain data after Account deletion, as required by applicable laws (e.g., tax records) or to protect our legal rights (e.g., preventing fraud). For details, see our Privacy Policy.
4.4 Third-Party Login
You may register or log in to your FicSpire Account using third-party authentication services (e.g., Google, Apple, Facebook). By using a third-party login:
You authorize the third party to share certain information with FicSpire (e.g., your name, email address) to create and manage your Account;
You agree to comply with the third party’s terms of service and privacy policy, in addition to these Terms;
FicSpire is not responsible for any issues arising from the third party’s service (e.g., account suspension, data breaches).
4.5 Account Suspension/Termination
FicSpire may, in our sole discretion, suspend, disable, or terminate your Account at any time if:
You violate these Terms, our Privacy Policy, or Content Guidelines;
We receive a valid legal request (e.g., a court order) to do so;
Your Account is inactive for 18 consecutive months (we will notify you via email at least 30 days before termination);
We suspect fraudulent, illegal, or abusive activity associated with your Account.
If your Account is terminated for a violation of these Terms, you may not register a new Account without FicSpire’s prior written approval.
5. Your Access to and Use of Our Services
5.1 Permitted Use
Subject to your compliance with these Terms, FicSpire grants you a non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal, non-commercial use only. This license includes:
Reading free or subscribed content on the Platform;
Saving reading progress and creating personal reading lists;
Posting comments (in accordance with Section 8) and interacting with other users (where available).
You may not use the Services for commercial purposes, including but not limited to:
Selling, renting, or licensing FicSpire content to third parties;
Using the Platform to promote or sell goods/services (unless explicitly authorized by FicSpire);
Scraping, harvesting, or monetizing user data or content from the Platform.
5.2 Restrictions on Use
You may not:
Modify, adapt, reverse engineer, decompile, or disassemble any part of the App or Website (including software code, APIs, or user interfaces);
Use automated tools (e.g., bots, spiders, scrapers) to access, collect, or manipulate data from the Platform, unless explicitly permitted by FicSpire in writing;
Interfere with or disrupt the Services (e.g., by launching a DDoS attack, uploading malware, or overloading servers);
Bypass FicSpire’s access controls (e.g., using a VPN to avoid regional content restrictions, sharing subscription credentials to bypass paywalls);
Use the Services in a way that violates applicable laws (e.g., accessing copyrighted content without permission, distributing harmful material).
5.3 Device and Network Requirements
To use the Services, you must provide:
A compatible device (e.g., smartphone, tablet, computer) that meets FicSpire’s minimum system requirements (listed in the App Store, Google Play Store, or Website);
A stable internet connection (data charges may apply, depending on your mobile or internet service provider);
Up-to-date software (e.g., operating system, web browser) to ensure security and functionality.
FicSpire is not liable for any issues caused by incompatible devices, poor network connectivity, or outdated software.
6. Subscription Services
6.1 Free vs. Premium Services
FicSpire offers both free and premium (paid) Services:
Free Services: Includes access to a limited selection of content, basic reading features, and may display advertisements. FicSpire reserves the right to modify, suspend, or terminate free Services at any time, with or without notice.
Premium Subscriptions: Grants access to exclusive content, ad-free reading, offline downloads, and other enhanced features (details vary by plan). Premium subscriptions are subject to the terms below.
6.2 Premium Subscription Plans
When you subscribe to a premium plan, you agree to:
Pay the subscription fee (plus applicable taxes, duties, or fees) at the rate specified at the time of purchase;
Select a billing cycle (e.g., monthly, annual) as offered by FicSpire;
Provide a valid payment method (e.g., credit card, debit card, digital wallet) that you are authorized to use.
FicSpire may offer promotional plans (e.g., free trials, discounted rates) with additional terms (e.g., auto-renewal after the trial ends). These terms will be clearly disclosed at the time of sign-up.
6.3 Auto-Renewal
Unless you disable auto-renewal, your premium subscription will automatically renew at the end of each billing cycle. To avoid being charged for the next cycle:
You must disable auto-renewal at least 24 hours before the end of the current billing period;
You can manage auto-renewal settings in your FicSpire Account or through the third-party platform where you purchased the subscription (e.g., Apple App Store, Google Play Store).
If auto-renewal fails (e.g., your payment method is declined), FicSpire will notify you and may suspend your premium access until payment is resolved.
6.4 Billing and Payment
Billing Date: For monthly subscriptions, billing occurs on the same calendar day as your initial purchase (or the last day of the month if the initial day does not exist, e.g., February 30). For annual subscriptions, billing occurs on the same date each year.
Payment Authorization: You authorize FicSpire (or our third-party payment processor) to charge your payment method for the subscription fee at the start of each billing cycle.
Payment Method Updates: You may update your payment method in your Account settings. If your primary payment method is no longer valid, FicSpire may charge an alternative method linked to your Account (if provided).
Third-Party Billing: If you purchase a subscription through a third party (e.g., App Store, Google Play), their billing terms apply. You must contact the third party to manage payments, cancellations, or refunds.
6.5 Cancellation and Refunds
Cancellation: You may cancel your premium subscription at any time. After cancellation, you will retain access to premium features until the end of the current billing cycle.
Refunds: Unless required by applicable law (e.g., consumer protection regulations) or explicitly stated in a promotional offer, subscription fees are non-refundable—no partial refunds will be issued for cancellations mid-cycle.
Refund Requests: To request a refund, contact FicSpire (Section 20.2) or the third-party billing platform (if applicable) within 30 days of the charge. FicSpire reserves the right to approve or deny refund requests in our sole discretion.
6.6 Price Changes
FicSpire may adjust subscription prices at any time. We will notify you of price changes at least 30 days before they take effect (via email or in-app notice). If you do not accept the new price, you may cancel your subscription before the change takes effect. Continuing to use the premium Services after the price change takes effect constitutes acceptance of the new rate.
7. Content-Related Matters
7.1 Ownership of Content
7.1.1 FicSpire Content
All content provided by FicSpire or its licensors (e.g., novels, short stories, illustrations, logos, trademarks, software, and the Platform’s design) is protected by copyright, trademark, and other intellectual property laws worldwide. This content (hereinafter referred to as " FicSpire Content") is owned by FicSpire or its respective licensors (e.g., authors, publishers).
You may not use, copy, reproduce, distribute, modify, display, perform, or create derivative works of FicSpire Content, except as explicitly permitted by these Terms (e.g., offline downloads for personal reading) or with prior written permission from FicSpire or the relevant licensor.
7.1.2 User-Generated Content
If you post, upload, or share content on the Platform (e.g., comments, reviews, fan art, or original stories—collectively referred to as " User-Generated Content" or "UGC" ), you retain ownership of the intellectual property rights in your UGC (subject to any third-party rights). However, by submitting UGC to the Platform, you grant FicSpire a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to:
Use, copy, reproduce, distribute, modify, adapt, display, and perform your UGC in connection with the Services (e.g., displaying your comment alongside a story, promoting your UGC in FicSpire’s marketing materials);
Store and archive your UGC for the purposes of operating and improving the Services.
This license continues even after you delete your Account, unless you request removal of your UGC (subject to FicSpire’s ability to do so and applicable laws). You represent and warrant that:
You have the right to submit your UGC (i.e., you own the rights or have obtained permission from the rights holder);
Your UGC does not infringe any third-party rights (e.g., copyright, trademark, privacy, or publicity rights);
Your UGC complies with these Terms and our Content Guidelines (e.g., is not offensive, illegal, or misleading).
FicSpire reserves the right to moderate, edit, or remove UGC at any time, in our sole discretion, without notice.
7.2 Content Availability
FicSpire does not guarantee that any specific content (including FicSpire Content or UGC) will be available on the Platform indefinitely. We may:
Remove content due to licensing expirations, author requests, or legal obligations;
Modify content (e.g., correcting typos, updating translations) for accuracy or quality;
Restrict access to content based on regional licensing agreements or age restrictions.
We will make reasonable efforts to notify users of significant content removals (e.g., a popular serialized story being taken down), but we are not liable for any loss or inconvenience caused by content unavailability.
7.3 Content Disclaimer
FicSpire does not endorse, verify, or guarantee the accuracy, quality, or appropriateness of any content on the Platform (including UGC). The views expressed in content (e.g., opinions in stories, comments) are those of the author or user, not FicSpire. You access and use all content at your own risk.
FicSpire may provide content warnings (e.g., for explicit language, violence, or sensitive topics), but these warnings are for guidance only—we do not guarantee their completeness or accuracy. Parents/guardians are responsible for monitoring minors’ access to content.
8. Platform Comments and Interactions
8.1 Comment Guidelines
FicSpire encourages respectful interaction between users. When posting comments, reviews, or other UGC on the Platform, you agree not to submit content that:
- Is illegal, harmful, threatening, abusive, harassing, defamatory, libelous, or discriminatory (based on race, gender, religion, nationality, disability, sexual orientation, age, or other protected characteristics);
- Contains explicit sexual content, violence, or hate speech;
- Infringes third-party rights (e.g., copyright, trademark, privacy);
- Is spam, unsolicited advertising, or misleading (e.g., phishing links, fake reviews);
- Impersonates another person or entity;
- Violates our Content Guidelines or any applicable laws.
8.2 Use of Comments
As outlined in Section 7.1.2, FicSpire may use your comments for operating and promoting the Services. We do not guarantee that comments will be stored permanently—we may delete or archive comments for technical, legal, or operational reasons (e.g., removing outdated comments, complying with data retention laws). You are responsible for backing up any comments you wish to retain.
8.3 Moderation of Comments
FicSpire reserves the right to moderate comments at our sole discretion, including:
- Reviewing comments before they are published (pre-moderation) or after publication (post-moderation);
- Editing, hiding, or removing comments that violate these Terms or our Content Guidelines;
- Restricting or disabling a user’s ability to post comments if they repeatedly violate guidelines.
We are not obligated to moderate all comments, and our failure to remove violating content does not constitute an endorsement of that content. If you encounter inappropriate comments, you may report them using the "Report" feature in the App or Website.
9. Third-Party Products or Services
9.1 Third-Party Integrations
The Platform may include links to third-party websites, services, or content (e.g., author blogs, bookstores, social media platforms) or integrate third-party tools (e.g., analytics, payment processors). These integrations are provided for your convenience only—FicSpire does not control, endorse, or guarantee the accuracy, safety, or legality of third-party products or services.
9.2 Your Use of Third-Party Services
If you access or use third-party services through FicSpire:
- You agree to comply with the third party’s terms of service and privacy policy (in addition to these Terms);
- FicSpire is not liable for any loss, damage, or dispute arising from your use of third-party services (e.g., a third-party payment processor’s data breach, a linked website’s fraudulent activity);
- Any personal information you share with a third party is subject to that party’s privacy practices, not FicSpire’s.
9.3 Third-Party Advertising
Free versions of the Services may display advertisements from third-party advertisers. FicSpire does not endorse the products or services advertised, and we are not responsible for the accuracy or legality of ad content. Advertisers are solely responsible for their ads, and any transaction between you and an advertiser is between you and the advertiser.
10. Restricted User Conduct
In addition to the restrictions in Sections 5.2 and 8.1, you agree not to engage in the following conduct when using the Services:
1. Fraudulent Activity: Creating fake accounts, using stolen payment methods, or manipulating the Platform to gain unauthorized access to content or benefits (e.g., sharing premium subscription credentials).
2. Harm to Others: Harassing, stalking, or threatening other users or FicSpire staff; or encouraging self-harm or harm to others.
3. Unauthorized Access: Attempting to access accounts, data, or features you are not authorized to use (e.g., hacking into FicSpire’s servers, accessing another user’s saved reading list).
4. Disruption of Services: Sending excessive messages, spamming other users, or overloading the Platform’s servers (e.g., via automated requests) to disrupt functionality.
5. Violation of Laws: Using the Services to engage in illegal activities (e.g., distributing pirated content, money laundering, or violating export controls).
FicSpire may take immediate action against users who engage in restricted conduct, including account termination, legal reporting, or collaboration with law enforcement (as required by law).
11. Disclaimer of Liability
11.1 "As Is" and "As Available" Provision
The Services are provided " as is" and "as available" —FicSpire makes no warranties, express or implied, regarding the Services, including but not limited to:
- Warranties of merchantability, fitness for a particular purpose, or non-infringement;
- Warranties that the Services will be uninterrupted, error-free, secure, or free from viruses/malware;
- Warranties regarding the accuracy, completeness, or timeliness of content (including FicSpire Content and UGC).
Your use of the Services is at your sole risk. FicSpire does not guarantee that the Services will meet your expectations or that any errors will be corrected.
11.2 Limitation of Damages
To the maximum extent permitted by applicable law, FicSpire and its affiliates, licensors, officers, directors, employees, and agents shall not be liable for any:
- Direct, indirect, incidental, special, consequential, or punitive damages;
- Loss of profits, revenue, data, or use;
- Damage to your device (e.g., from malware) or loss of content (e.g., deleted UGC);
- Harm arising from third-party conduct (e.g., other users’ comments, third-party advertising).
This limitation applies regardless of the legal theory (e.g., contract, tort, negligence) and even if FicSpire has been advised of the possibility of such damages.
11.3 Exception for Gross Negligence
Nothing in these Terms shall exclude or limit FicSpire’s liability for:
- Death or personal injury caused by FicSpire’s gross negligence;
- Fraud or fraudulent misrepresentation;
- Liabilities that cannot be excluded by applicable law (e.g., consumer protection obligations).
12. Compliance with Laws
12.1 Your Compliance Obligations
You agree to use the Services in compliance with all applicable local, national, and international laws, including:
- Copyright, trademark, and intellectual property laws (e.g., not distributing pirated content);
- Data protection laws (e.g., the EU’s GDPR, California’s CCPA);
- Anti-spam laws (e.g., the U.S. CAN-SPAM Act);
- Export control laws (e.g., U.S. EAR, EU Dual-Use Regulation).
You are responsible for determining whether your use of the Services complies with local laws (e.g., age restrictions for certain content in your jurisdiction).
12.2 FicSpire’s Compliance
FicSpire complies with applicable laws and regulations, including:
- Removing infringing content in response to valid intellectual property notices (see Section 16);
- Protecting user data in accordance with our Privacy Policy and data protection laws;
- Reporting illegal activity to relevant authorities when required by law.
If FicSpire is required by law to disclose your data (e.g., in response to a court order), we will do so without liability to you, provided we act in good faith.
13. Handling of Illegal or Breaching Conduct
13.1 Notification of Breaches
If FicSpire discovers or receives a report that you have engaged in illegal or breaching conduct (e.g., violating Section 10), we may:
- Notify you of the breach and request that you correct it (e.g., removing infringing UGC) within a reasonable time;
- Take immediate action (without notice) if the breach is severe (e.g., fraud, harassment, or distribution of illegal content).
13.2 Consequences of Breach
If you fail to correct a breach or engage in severe conduct, FicSpire may take one or more of the following actions:
1. Suspend or terminate your Account (see Section 4.5);
2. Remove or disable access to your UGC;
3. Refuse to provide Services to you in the future;
4. Pursue legal action against you (e.g., for copyright infringement, fraud);
5. Report your conduct to law enforcement or regulatory authorities.
You agree to indemnify FicSpire against any losses, damages, or costs (including reasonable attorneys’ fees) arising from your breach of these Terms.
14. Indemnification Clause
You shall defend, indemnify, and hold harmless FicSpire and its affiliates, licensors, officers, directors, employees, and agents (collectively, the "FicSpire Parties") from and against all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in connection with:
1. Your access to or use of the Services;
2. Your violation of these Terms, applicable laws, or third-party rights (e.g., copyright infringement, privacy violations);
3. Your UGC (e.g., a third party sues FicSpire for defamation based on your comment);
4. Disputes between you and other users or third parties related to the Services.
FicSpire reserves the right to assume the exclusive defense and control of any claim for which you are required to indemnify us. In such cases, you agree to cooperate with FicSpire’s defense of the claim.
15. Intellectual Property Infringement Handling
15.1 Infringement Notice Requirements
FicSpire respects intellectual property rights and will respond to valid notices of copyright or trademark infringement. If you believe that content on the Platform infringes your intellectual property rights, you must submit a written notice to FicSpire’s Copyright Agent (contact information in Section 20.2) containing the following:
1. A physical or electronic signature of the rights owner or their authorized representative;
2. A description of the infringed work (e.g., title of the copyrighted novel, registration number of the trademark);
3. The specific location of the infringing content on the Platform (e.g., URL of the story page, screenshot of the infringing UGC);
4. Your contact information (name, address, email address, telephone number);
5. A statement that you have a good faith belief that the use of the content is not authorized by the rights owner, their agent, or the law;
6. A statement under penalty of perjury that the information in the notice is accurate and that you are authorized to act on behalf of the rights owner.
15.2 Counter-Notice Requirements
If you believe that your content was wrongly removed due to an infringement notice, you may submit a counter-notice to FicSpire’s Copyright Agent containing:
1. Your physical or electronic signature;
2. A description of the content that was removed or disabled;
3. The location where the content was previously available on the Platform;
4. Your contact information (name, address, email address, telephone number);
5. A statement under penalty of perjury that you have a good faith belief that the content was removed due to a mistake or misidentification;
6. A statement that you consent to the jurisdiction of the federal court in and that you will accept service of process from the party who submitted the original infringement notice.
15.3 FicSpire’s Response to Notices
Upon receiving a valid infringement notice:
- FicSpire will remove or disable access to the infringing content within a reasonable time;
- We will notify the user who posted the content of the removal and provide them with a copy of the infringement notice (excluding confidential information).
If we receive a valid counter-notice:
- We will notify the original complainant of the counter-notice;
- If the complainant does not file a legal action (e.g., a lawsuit) against the user within 10–14 business days (as required by applicable law), FicSpire may restore the removed content.
FicSpire reserves the right to terminate the accounts of users who repeatedly submit infringing content.
16. Agreement Validity and Modification
16.1 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the original intent of the parties.
16.2 Waiver
FicSpire’s failure to enforce any provision of these Terms or to act against a breach does not constitute a waiver of that provision or any future breach. A waiver of any provision shall only be effective if in writing and signed by FicSpire.
16.3 Entire Agreement
These Terms, together with our Privacy Policy, Content Guidelines, and any other documents incorporated by reference, constitute the entire agreement between you and FicSpire regarding the Services. They supersede all prior or contemporaneous agreements, understandings, or representations (written or oral) related to the Services.
17. Applicable Law and Dispute Resolution
17.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, excluding its conflict of laws principles. This choice of law applies regardless of your location or where you access the Services.
17.2 Dispute Resolution by Arbitration
Mandatory Arbitration: Except for claims that qualify for small claims court (as permitted by applicable law), all disputes, claims, or controversies between you and FicSpire arising out of or in connection with these Terms or the Services (including their formation, breach, termination, or validity) shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (" AAA") under its Commercial Arbitration Rules (or, for consumer claims, the AAA’s Consumer Arbitration Rules).
- Arbitration Location: The arbitration shall take place or, if you reside outside the U.S., via remote hearing (unless otherwise agreed by the parties).
- Language: The arbitration shall be conducted in English.
- Costs: For consumer claims, AAA fees and costs shall be shared in accordance with the AAA’s Consumer Arbitration Rules. For non-consumer claims, each party shall bear their own fees and costs, unless the arbitrator awards otherwise.
- Decision: The arbitrator’s decision shall be final and binding on both parties. Judgment on the award may be entered in any court of competent jurisdiction.
Waiver of Class Actions**: You and FicSpire agree that neither party may bring a class action, collective action, or representative action against the other. The arbitrator may only hear individual claims and may not consolidate claims or award relief to a class of users.
17.3 Exception for Emergency Relief
Nothing in this Section 17 shall prevent either party from seeking emergency injunctive relief from a court of competent jurisdiction to protect their rights (e.g., stopping the distribution of infringing content), provided that such relief does not affect the arbitration of the underlying dispute.
18. Privacy Policy
FicSpire is committed to protecting your personal information. Our Privacy Policy explains how we collect, use, store, and disclose your data (e.g., account information, reading habits, payment details) when you use the Services. The Privacy Policy is incorporated by reference into these Terms—by using the Services, you agree to the collection and use of your data as described in the Privacy Policy.
In the event of a conflict between these Terms and the Privacy Policy, the Privacy Policy shall control with respect to the collection, use, and disclosure of your personal information.
19. Termination of Services
19.1 Termination by You
You may terminate your use of the Services at any time by:
- Deleting your Account (see Section 4.3);
- Ceasing all access to the App and Website.
Termination by you does not relieve you of any obligations incurred before termination (e.g., unpaid subscription fees).
19.2 Termination by FicSpire
FicSpire may terminate the Services (in whole or in part) or your access to the Services at any time, with or without notice, for any reason, including:
- Business reasons (e.g., discontinuing a feature, exiting a regional market);
- Legal obligations (e.g., complying with a government order to shut down services in a jurisdiction);
- A material breach of these Terms by you (see Section 13.2).
If FicSpire terminates the Services without cause, we will refund any prepaid subscription fees for the unused portion of the billing cycle (unless prohibited by law).
20. General Provisions
20.1 Notice Requirements
All notices between you and FicSpire shall be in writing. FicSpire may send notices to you via:
- Email to the address associated with your Account;
- In-app notifications;
- A prominent notice on the Website or App.
You may send notices to FicSpire via the contact information below. Notices are deemed received:
- When sent (for emails and in-app notifications);
- When posted (for Website/App notices).
You agree to keep your Account’s email address up to date. FicSpire is not liable for any failure to receive notices due to an outdated email address.
20.2 Assignment
FicSpire may assign these Terms (in whole or in part) to any third party (e.g., in connection with a merger, acquisition, or sale of assets) without your consent.
